1. About these terms

This website is operated by Mericron, Inc., a Delaware corporation ("Mericron," "we," "us," or "our"). These terms apply to your use of the website and its account and inquiry features. Please read them before using the site. If you do not agree to these terms, do not use the site.

If you use the site on behalf of an organization, you must have authority to act for that organization. Any separate agreement with Mericron, including a nondisclosure, evaluation, licensing, or supply agreement, governs its own subject matter and takes priority over these website terms if they conflict.

2. Information about our products and program

The website provides general information about Mericron and our work. MCN-1 is in development. Descriptions, illustrations, concepts, and plans may change and are not final specifications or commitments concerning performance, availability, delivery dates, or suitability for a particular application.

General product descriptions are not an offer to supply MCN-1 hardware, a reservation, or a commitment to provide samples or support. Paid design partner membership is purchased separately through checkout. The program description, price, and any applicable purchase terms presented at checkout govern that purchase. Creating an account or submitting an inquiry or application does not itself purchase membership or establish paid membership status.

Design partner membership does not create a legal partnership, agency, employment, or joint venture relationship. Technical access, licensing, and supply arrangements remain subject to the program details and any applicable separate agreement.

3. Permitted use and website security

You may use the site for lawful purposes to learn about Mericron, contact us, and manage your own partner application. Do not impersonate another person, provide information you have no right to share, send unlawful or infringing material, or use the site for spam or fraud.

Do not attempt unauthorized access to accounts, data, or systems; bypass access controls; introduce malicious code; or disrupt the site. Automated access must not bypass restrictions or unreasonably burden the service. Report a suspected security issue through our contact page without including passwords or another person's private information.

4. Accounts and partner applications

Provide accurate account and application information and keep it up to date. Keep your login credentials secure, use only accounts you are authorized to access, and tell us promptly if you suspect unauthorized use. You are responsible for the activity you authorize through your account.

We may restrict or suspend access when reasonably necessary to address misuse, a security risk, a legal requirement, or a breach of these terms. We may also change or discontinue website features. Where practical, we will provide notice of a material restriction affecting your account. This does not alter obligations under a separate agreement.

5. Content and intellectual property

Mericron and its licensors retain their rights in website content, including text, graphics, designs, logos, and software. You may view the site, share links to its public pages, and save or print reasonable portions for personal use or internal business evaluation, keeping copyright and other ownership notices intact.

Except as permitted by law or an applicable license, you may not copy, modify, distribute, or commercially exploit website content without permission. These terms do not grant rights to Mericron's trademarks, patents, chip designs, or other technology. Open source software and any materials supplied under a separate license remain governed by their own licenses; these terms do not restrict rights granted by those licenses.

6. Information you submit and confidentiality

You retain your rights in information you submit. You permit Mericron to receive, store, review, and use it as needed to operate your account, respond to your inquiry, evaluate your application, and discuss a potential collaboration, as described in our privacy notice. This permission does not transfer ownership of your inventions or other intellectual property.

Do not submit trade secrets or other confidential project details unless an applicable nondisclosure agreement or other written confidentiality arrangement with Mericron covers the disclosure. Sending a form, creating an account, or requesting an NDA does not by itself create an NDA. Any applicable confidentiality agreement continues to govern covered information.

7. Privacy and third-party services

Our website privacy notice explains how we use information provided through the website and portal. Third-party websites or services linked from the site may have their own terms and privacy practices. We do not control those third parties, and a link alone does not mean Mericron endorses their content or services.

8. Website availability and warranties

We aim to provide useful, accurate information, but the website may contain errors or become unavailable. To the extent permitted by applicable law, the website and its content are provided "as is" and "as available," without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee uninterrupted, secure, or error-free operation.

This section applies to the website. It does not replace a product warranty or other commitment in a separate agreement, or exclude any warranty or right that applicable law does not allow us to exclude.

9. Limits on liability

To the extent permitted by applicable law, Mericron is not liable for indirect, incidental, special, or consequential loss arising from use of, or inability to use, the website, including resulting loss of profits, business opportunities, or data.

Nothing in these terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot lawfully be excluded or limited. These terms do not waive mandatory consumer protections, remedies, or warranties. Obligations and liability under a separate agreement remain subject to that agreement and applicable law.

10. Changes to these terms

We may update these terms by posting a revised version and changing the date above. Changes apply prospectively from the date stated in the revised terms and do not change previously accrued rights or a separate agreement. We will provide additional notice or request agreement where required by applicable law.

11. Governing law and remaining provisions

These terms are governed by the laws of the State of Kansas, United States, without regard to conflict-of-law rules. This choice does not deprive you of mandatory protections under laws that otherwise apply to you.

If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay or failure to enforce a provision does not waive the right to enforce it later.
